1. Introduction

1.1 Purpose

This Creator Agreement is a legally binding contract between you (Creator) and Kaslane Tech & Entertainment Pvt. Ltd. governing your participation as a Creator on the Blutter platform.

1.2 About Blutter

Blutter is a fan engagement platform enabling Creators — including content creators, influencers, artists, celebrities, and public figures — to monetize their influence by offering exclusive content, personalized interactions, and unique experiences to their Subscribers.

1.3 Parties

Creator The individual or entity applying to or registered as a Creator on the Platform.

Kaslane Tech & Entertainment Pvt. Ltd., incorporated under the Companies Act 2013, registered at OFF NO-412, JOP Plaza P-2, Sector-18, Noida 201301, Uttar Pradesh, India.

1.4 Acceptance

By applying, completing on boarding, or using the Platform as a Creator, you agree to be bound by this Creator Agreement, the Terms & Conditions, the Privacy Policy, the Community Guidelines, and the Refund & Cancellation Policy.

1.5 Effective Date

This Agreement becomes effective upon your acceptance during onboarding, your first use of Creator features, or Blutter's approval of your application — whichever occurs first.

1.6 Relationship

This Agreement establishes an independent contractor relationship. You are not an employee, agent, partner, or joint venturer of Blutter and have no authority to bind Blutter.

2. Definitions

Creator Individual or entity approved to offer services to Subscribers through the Platform.

Creator Content All text, images, videos, audio, and materials uploaded or shared by the Creator.

Earnings Gross revenue generated before deductions.

Net Earnings Earnings after deduction of Platform fees, taxes, and other charges.

Platform Fee The 20% commission charged by Blutter for Platform services.

Subscriber A user who subscribes to or purchases services from a Creator.

Transaction Any payment made by a Subscriber for Creator Services.

KYC Know Your Customer verification as required by applicable laws.

3. Eligibility & On boarding

3.1 Eligibility Requirements

• At least 18 years old with legal capacity to enter binding contracts.
• A real individual (not a fictional character or brand without an authorised representative).
• Resident of India with valid Indian identification.
• Valid Indian bank account in your name for payouts.
• Valid PAN card for tax purposes.
• No prior bans from Blutter or similar platforms for policy violations.
• No legal restrictions preventing Platform participation.

3.2 Application Process

1. Application — Submit Creator application through the Platform or website.
2. Basic Verification — Verify email and phone number.
3. Identity Verification — Submit government-issued ID.
4. KYC Completion — Submit PAN, bank account, and address proof.
5. Profile Setup — Create your Creator profile with bio, photos, and offerings.
6. Agreement Acceptance — Review and accept this Creator Agreement.
7. Review — Blutter reviews application (typically 3–7 business days).
8. Approval / Rejection — Notification with reasons.
9. On boarding — Complete on boarding training and setup.
10. Go Live — Creator profile goes live on Platform.

3.3 Application Review

Blutter may approve or reject any application at its sole discretion, request additional documentation, conduct further verification, set conditions for approval, or limit initial access to certain features.

3.4 Rejection

Applications may be rejected for incomplete information, failed verification, policy concerns, platform fit, prior violations, legal issues, or fraudulent application. Rejected applicants may reapply after 90 days.

3.5 KYC Requirements

• Government ID — Aadhaar, Passport, Voter ID, or Driving Licence.
• PAN Card — Tax identification and TDS compliance.
• Bank Account Proof — Cancelled cheque or bank statement.
• Address Proof — Aadhaar, utility bill, or bank statement.
• Selfie / Live Photo — Liveness check to match with ID.
• GST Certificate — If registered under GST (optional but recommended if turnover exceeds threshold).

3.6 Ongoing Verification

Blutter may require annual KYC renewal, re-verification upon significant account changes, additional verification for high-value transactions, and random verification audits.

4. Creator Account

4.1 Account Setup

Upon approval you will set up your Creator Account with a profile photo, cover photo, display name, username, bio, content categories, social links, and service offerings with pricing.

4.2 Verification Badges

• Verified Creator — Completed KYC + active for 30+ days. Blue check mark and increased visibility.
• Top Creator — High engagement, positive reviews, and consistent activity. Featured placement and priority support.
• Premium Creator — Invitation only, high earnings, excellent track record. Exclusive features and lower platform fees.

4.3 Account Security

You are responsible for maintaining a strong, unique password; enabling two-factor authentication (mandatory); logging out of shared devices; reporting unauthorised access immediately; and keeping contact information updated.

4.4 Account Restrictions

• One Creator account per individual — multiple accounts are not permitted.
• Account credentials must not be shared.
• Accounts cannot be sold or transferred.
• Impersonation of other individuals is prohibited.

5. Services & Offerings

5.1 Permitted Services

• Subscriptions — Monthly recurring access to exclusive content.
• Paid Messages (DMs) — One-on-one paid messaging with Subscribers.
• Video Calls — Scheduled video call sessions.
• Audio Calls — Scheduled audio call sessions.
• Meetups — In-person meetings at public venues.
• Travel Experiences — Curated travel experiences with Subscribers.
• Exclusive Content — Premium content for subscribers or one-time purchase.
• Tips — Voluntary tips from Subscribers.
• Custom Requests — Personalised content or services (within policy limits).

5.2 Pricing (Current Ranges — Subject to Change)

5.3 Prohibited Services

• Sexual or adult services.
• Escort or companionship services.
• Illegal activities.
• Gambling or betting services.
• Investment advice (without SEBI registration).
• Medical advice (without proper credentials).
• Services delivered outside the Platform.

6. Content Rights & Ownership

6.1 Your Ownership

You retain full ownership of all original content you create and upload. Blutter does not claim ownership of your Creator Content.

6.2 License to Blutter

By uploading Creator Content, you grant Blutter a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to operate, promote, and improve the Platform — including displaying content to Subscribers, promoting your profile, creating thumbnails, backing up content, moderating for safety, and marketing the Platform.

6.3 License Duration

The license continues for the duration your content is on the Platform and for a reasonable period thereafter for archival, legal compliance, dispute resolution, and cached/backup copies. Content is removed from public view within 30 days of account termination, subject to legal retention requirements.

6.4 Content Representations

By uploading content you represent and warrant that you own or have rights to all content; you have consent from individuals appearing in the content; the content does not infringe third-party intellectual property; and the content complies with all applicable laws and Platform policies.

6.5 DMCA & Copyright

To report infringement, email connect@blutter.app with subject "Copyright Infringement". Blutter will investigate and take appropriate action; repeat infringers will be banned.

7. Revenue & Earnings

7.1 Revenue Share

Creator80% of transaction value.

Blutter (Platform Fee)20% of transaction value.

Example: Subscriber pays ₹1,000 → Creator receives ₹800, Blutter retains ₹200.

7.2 Platform Fee Inclusions

The 20% covers payment processing, platform infrastructure, customer support, marketing and discovery, safety and moderation, ongoing development, and legal compliance.

7.3 Special Revenue Arrangements

• Premium Creators — May qualify for a reduced Platform Fee of 15%.
• High-Volume Creators — Creators earning ₹5,00,000+/month may negotiate custom rates.
• Launch Promotions — Temporary reduced fees during promotional periods.
• Referral Bonuses — Additional earnings for referring new Creators.

7.4 Earnings Hold Period

Standard Transactions7 days (chargeback protection).

8. Payouts

8.1 Payout Methods

• Bank Transfer (NEFT/IMPS) — Primary method; transfer to Indian bank account.
• UPI — Available for payouts up to ₹1,00,000.

Payouts are only available to Indian bank accounts in the Creator's name.

8.2 Payout Schedule

StandardWeekly, every Monday for the previous week's cleared earnings.

8.3 Minimum Payout Threshold

Minimum payout is ₹500. If below minimum, earnings roll over to the next cycle. On account closure, all pending earnings are paid regardless of minimum.

TDS — Section 194-O1% on gross transaction value exceeding ₹5 lakh/year.

TDS — Section 194J10% on professional/technical services (if applicable).

9. Taxes & Compliance

9.1 Creator Tax Responsibilities

• File income tax returns and pay income tax on all earnings.
• Obtain GST registration if annual turnover exceeds ₹20 lakh (₹10 lakh for special category states).
• File GST returns if registered; pay advance tax as required.
• Maintain financial records and consult tax professionals for compliance.

9.2 TDS Deducted by Blutter

Section 194-O1% on e-commerce transactions exceeding ₹5 lakh gross per financial year.

Section 194J10% on professional/technical services (if applicable).

Form 16A (TDS Certificate) is provided quarterly and available in the Creator Dashboard for claiming tax credit in your ITR.

10. Creator Obligations

10.1 General Obligations

• Comply with all Platform policies, Terms & Conditions, and Community Guidelines.
• Provide accurate and current profile and account information.
• Deliver all paid services as described and promised.
• Maintain reasonable quality standards in content and services.
• Respond to Subscriber communications within reasonable timeframes.
• Conduct all interactions professionally and respectfully.
• Protect Subscriber privacy; report safety concerns promptly.

10.2 Service Delivery Obligations

10.3 Response Time Requirements

10.4 Prohibited Creator Actions

• Off-Platform Transactions — Directing Subscribers to pay outside Platform. Consequence: account termination.
• Soliciting Personal Contact — Requesting personal phone numbers or addresses. Consequence: warning, then suspension.
• Misleading Subscribers — False promises or bait-and-switch tactics. Consequence: account suspension.
• Sharing Subscriber Information — Revealing Subscriber personal details. Consequence: account termination.
• Fake Engagement — Buying fake followers, likes, or reviews. Consequence: account suspension.
• Multiple Accounts — Operating multiple Creator accounts. Consequence: all accounts terminated.

11. Platform Obligations

11.1 Blutter's Commitments

• Provide access to Platform features for Creators.
• Process Subscriber payments and Creator payouts.
• Maintain Platform infrastructure with a target uptime of 99.5%.
• Provide Creator support services and content moderation.
• Treat Creators fairly and consistently; protect Creator data per the Privacy Policy.

11.2 What Blutter Does NOT Guarantee

• Guaranteed earnings or minimum income.
• A guaranteed number of Subscribers or visibility placement.
• Continuous Platform operation or specific Platform features.
• Performance of third-party services such as payment gateways.

12. Exclusivity & Non-Compete

12.1 Non-Exclusive Relationship

This Agreement is non-exclusive. You may use other platforms, monetise directly, maintain social media, accept brand deals, and pursue any other income sources.

12.2 Platform-Specific Restrictions

• Do not redirect Blutter Subscribers to pay on other platforms for the same services.
• Do not offer the same services at significantly lower prices on competing platforms.
• Do not publicly disparage Blutter while active on the Platform.
• Do not collect Subscriber contact info to market off-platform services.

12.3 Content Exclusivity (Optional)

• Standard (Default) — No content exclusivity; same content can be posted elsewhere.
• Blutter-First — Optional: content posts on Blutter 24–72 hours before other platforms.
• Blutter-Exclusive — Optional: specific content only available on Blutter.

13. Creator Guarantee Program

13.1 Program Overview

Guarantee Amount Up to ₹20,000 per month.

Duration First 3 months on Platform.

Eligibility By invitation/application; subject to approval.

13.2 Eligibility Criteria

• Minimum 10,000 followers on at least one social platform.
• Demonstrated audience engagement and high-quality content portfolio.
• Commitment to active participation and Blutter-first content during the guarantee period.
• Meet minimum activity requirements; maintain no policy violations.

13.3 Monthly Activity Requirements

Exclusive Posts Minimum 8 posts per month.

Stories / Updates Minimum 15 updates per month.

Platform Activity Active on Platform at least 20 days per month.

Social Promotion Promote Blutter profile at least 4 times per month.

Call Availability At least 10 hours of call availability per month.

13.4 Guarantee Calculation Example

Month 1 — ₹5,000 earned₹15,000 top-up → total ₹20,000.

Month 2 — ₹12,000 earned₹8,000 top-up → total ₹20,000.

Month 3 — ₹25,000 earned No top-up needed → total ₹25,000.

14. Intellectual Property

You own all original content you create, your existing IP, your name and likeness, and any trademarks you hold. Blutter owns all Platform technology, code, design, features, its trademarks, and aggregated platform data. The license granted in Section 6.2 applies for Platform purposes.

Any feedback or suggestions you provide to Blutter become Blutter`s property; no compensation is owed and Blutter is not obliged to act on them.

15. Confidentiality

You may receive confidential information from Blutter including business strategies, unreleased technical features, Subscriber data, and private financial terms. You agree to keep such information secure, not share it with third parties, use it only for Platform purposes, and notify Blutter of any breach immediately. Confidentiality obligations continue for 3 years after termination.

All Subscriber information must be treated as strictly confidential, shared with no one, and used only through the Platform.

16. Data & Privacy

Blutter collects and processes Creator data (identity, contact, financial, content, analytics, and usage data) as described in the Privacy Policy. You have rights of access, correction, deletion, portability, and objection. As a Creator who receives Subscriber data, you must only process it for legitimate Platform purposes, keep it secure, never use it externally, and notify Blutter of any breach within 24 hours.

17. Representations & Warranties

You represent and warrant that you have legal capacity; you are at least 18; all information is accurate; your participation does not violate any laws; you hold rights to all content you post; and you will comply with all applicable laws, policies, and tax obligations.

Blutter represents it is a duly incorporated company with authority to enter this Agreement and will operate the Platform in accordance with its stated policies. The Platform is provided "as is" without warranty of fitness, accuracy, uninterrupted service, or specific earnings results.

18. Indemnification

You agree to indemnify and hold harmless Blutter and its affiliates from any claims, damages, losses, liabilities, costs, and legal fees arising from your content, your services, policy or legal violations, third-party rights infringement, misrepresentation, tax non-compliance, Subscriber disputes, or negligent/wrongful conduct. These obligations survive termination of this Agreement.

19. Limitation of Liability

To the maximum extent permitted by law, Blutter is not liable for indirect, incidental, or consequential damages; lost profits or revenue; loss of data; lost business opportunities; reputational harm; or Platform downtime.

Maximum Liability Cap The greater of: (a) fees paid to you in the 6 months preceding the claim, or (b) ₹50,000.

Per-Incident Cap₹25,000 for any single incident.

These limitations do not apply to Blutter's gross negligence, fraud, death or personal injury caused by Blutter's negligence, or rights that cannot be limited by law.

20. Suspension & Termination

20.1 Voluntary Termination by Creator

You may close your Creator account at any time via Account Settings or by emailing connect@blutter.app A 30-day notice period is recommended to fulfil pending obligations. Pending earnings are paid after the standard hold period; active subscriptions continue until expiry; pending bookings must be fulfilled or cancelled with refunds.

20.2 Termination by Blutter(For Cause)

Blutter may suspend or terminate your account immediately for policy or legal violations, fraud, safety concerns, repeated Subscriber complaints, non-performance, reputational risk, legal requirements, KYC failure, or inactivity of 180+ days.

20.3 Suspension Types

Precautionary Until investigation is complete.

Minor Violation7–14 days.

Moderate Violation14–30 days.

Serious Violation30–90 days.

20.4 Termination Without Cause by Blutter

Blutter may terminate without cause with 60 days' written notice. All legitimate earnings are paid; Subscribers are notified; and you have the opportunity to export content. No financial penalty applies.

20.5 Platform Discontinuation

Blutter will provide a minimum of 90 days' notice before discontinuing the Platform. All pending earnings will be paid, data export will be available, and pro-rata refunds will be issued to Subscribers for unused subscriptions.

20.6 Appeal of Termination

Creators terminated for cause may appeal by emailing connect@blutter.app with subject "Termination Appeal - [Username]" within 30 days of termination. Senior management will review within 15 business days; the decision is final.

21. Post-Termination Obligations

Upon termination you must fulfil or refund pending services, cease all Platform use, remove Blutter branding from your materials, maintain confidentiality, return or destroy Blutter confidential information, and cooperate with any pending investigations.

The following provisions survive termination: Intellectual Property (Section 14), Confidentiality (Section 15), Indemnification (Section 18), Limitation of Liability (Section 19), Post-Termination Obligations (Section 21), Dispute Resolution (Section 22), and General Provisions (Section 24).

22. Dispute Resolution

This Agreement is governed by the laws of India. Before formal proceedings, both parties agree to a 30-day informal resolution period via connect@blutter.app.

Unresolved disputes proceed to binding arbitration under the Arbitration and Conciliation Act 1996, with a single arbitrator, seat in New Delhi, conducted in English. All claims must be filed within 1 year of the cause of action.

For non-arbitration matters, exclusive jurisdiction lies with courts in Noida / Gautam Buddha Nagar, Uttar Pradesh. You waive the right to participate in class action lawsuits; all disputes must be brought in individual capacity.

23. Amendments

Blutter may amend this Agreement at any time. Material changes require 30 days' advance notice via email and Platform notification. Minor changes are reflected by updating the "Last Updated" date. Emergency changes take immediate effect. Continued use after the effective date constitutes acceptance; if you object, you may terminate before the effective date.

24. General Provisions

24.1 Entire Agreement

This Agreement, together with the Terms & Conditions, Privacy Policy, Community Guidelines, and other referenced policies, constitutes the entire agreement between you and Blutter regarding your participation as a Creator.

24.2 Severability

If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary; remaining provisions stay in full force.

24.3 Assignment

You may not assign or transfer this Agreement without Blutter's written consent. Blutter may assign to any affiliate or successor without your consent.

24.4 Notices

24.5 Relationship of Parties

You and Blutter are independent contractors. No employment, partnership, joint venture, or agency relationship is created. You are not entitled to employee benefits and are responsible for your own taxes, insurance, and compliance.

25. Creator Support & Resources

Priority Support Available for Verified and Premium Creators.

Emergency Support 24/7 for critical safety issues.

Additional resources include the Creator Help Centre, Creator Academy, educational webinars, and a Creator newsletter. Premium Creators may receive a dedicated account manager and regular strategy calls.

27. Acknowledgment & Acceptance

By accepting this Agreement (by clicking "I Accept," completing on boarding, or using Creator features), you confirm that you have read and understood this Agreement and all linked policies; you meet all eligibility requirements; all information provided is accurate; you understand the revenue share, fees, payout terms, and tax obligations; and you enter this Agreement voluntarily.

Electronic acceptance — whether by click, on boarding completion, or use of Creator features — has the same legal effect as a physical signature. Blutter maintains a record of your acceptance including timestamp, IP address, device information, and the Agreement version accepted.
